Specxweb is an innovative platform operated by MA Eyewear Private Limited, registered under the Companies Act, 2013. Specxweb aims to empower small and medium-sized eyewear retailers by enabling inventory sharing, customer relationship management, and an online retail marketplace for eyewear products. By using Specxweb, retailers can streamline their operations, reach a broader market, and enhance their competitiveness in today’s highly digitalized retail environment.
By registering on our platform as a buyer, browsing, or making use of any services or functionalities provided by Specxweb, you indicate your understanding, consent, and unconditional acceptance of this agreement. This includes any amendments or updates that may be introduced from time to time. If you do not agree with these terms, you may not use the platform or its services.
This document constitutes an electronic record in accordance with the Information Technology Act, 2000, and its associated rules. No physical or digital signatures are required for this agreement to be legally binding.
By accepting these terms, you agree to comply with all policies, terms of use, and guidelines outlined in this agreement and ensure your use of Specxweb is in accordance with all applicable regulations and policies.
If you are using this platform on behalf of a company, organization, or any other legal entity, you represent and warrant that you have the authority to bind such entity to these terms.

Capitalized terms defined by inclusion in quotations and/or parenthesis have the meanings so ascribed; and the following terms shall have the meanings assigned to them herein below:
"Applicable Law" means in respect of a person, any statute, law, regulation, ordinance, rule, judgment, decree, by-law, approval from the concerned authority, government resolution, order, directive, guideline, policy, requirement, or other governmental restriction or any similar form of decision or determination, or any interpretation or adjudication having the force of law by any concerned authority or other requirements of any governmental or regulatory authority, to which such person is subject.
"Buyer", "User", "You" or "Your" shall mean any registered individual or legal entity that has access to and is using the Specxweb Platform for purchasing or accessing any other services provided on the Platform. This includes users who have not created a formal Buyer Account and are accessing the Platform without such a Buyer Account.
"Buyer Account" shall mean an electronic account created by a User on the Platform for the purpose of purchasing or accessing other services offered through the Specxweb Platform.
"Company", "We", "Us", and/or "Our" shall mean MA Eyewear Private Limited, a company incorporated under the Companies Act, 2013, and operating the Specxweb Platform, having its registered office at UG2A, Vidhyapati Complex, Race Course Road, Indore M.P. (hereinafter referred to as "Company"), which expression shall, unless repugnant to the context or meaning thereof, include its successors and assigns.
"Force Majeure Event" shall mean any event that is beyond the Company’s reasonable control and includes, without limitation, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, technical snags, unauthorized access to computer data and storage devices, and breach of security and encryption.
"KYC Guidelines" or "KYC" shall mean the Know Your Customer (KYC) guidelines set forth under applicable laws to verify the identity and authenticity of Retailers or Users on the Platform.
"Platform" shall mean and include www.specxweb.com, the Specxweb mobile application, and any other successor websites or applications operated by the Company.
"Products" shall mean all eyewear-related products, including eyeglasses, sunglasses, prescription glasses, contact lenses, and other optical accessories listed for sale on or through the Platform by participating Retailers.
"Transaction Account" shall mean the bank account(s) opened in the name of the Company where Buyers deposit payments for products purchased on the Platform.
"Transactions" shall mean any purchase of products initiated or completed by a Buyer on the Platform.
All references to singular include plural and vice versa, and the word "includes" should be construed as "without limitation.
Words importing any gender shall include all other genders.
Reference to any statute, ordinance, or other law includes all regulations and other instruments, and all consolidations, amendments, re-enactments, or replacements for the time being in force.
All headings, bold typing, and italics (if any) have been inserted for convenience of reference only and do not define, limit, or affect the meaning or interpretation of the terms of this Agreement.
Specxweb (referred to as “Company”, “We”, “Us”, or “Our”) operates an online platform accessible via www.specxweb.com (the “Platform”). The Platform offers an array of eyewear products, including but not limited to eyeglasses, sunglasses, and optical accessories, sold by partnered retailers. The Company provides this Platform, including all information, tools, and services available to You, the end customer (referred to as “You” or “User”), conditional upon your acceptance of all terms, conditions, policies, and notices stated here.
Your use of the Platform, including browsing, selecting products, and making purchases, is governed by these Terms and Conditions (“Terms”) and is subject to changes from time to time without prior notice. Any new features or tools added to the Platform will also be subject to these Terms. You are encouraged to periodically review this Agreement and any additional documents or rules referred to herein.
By continuing to use the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms, as well as any additional guidelines, policies, or rules (“Additional Documents”) that apply to specific products or services available on the Platform. In the event of any conflict between the Terms and the Additional Documents, the latter shall prevail. If you do not agree to any part of these Terms or the Additional Documents, you should not use the Platform. Your continued use of the Platform after any changes have been made will be deemed your acceptance of the revised Terms.
The Platform is designed to facilitate purchases of eyewear products from retailers who have partnered with Specxweb. You, as the end customer, will select the retailer of your choice from whom to purchase products, and transactions will be completed through the Platform. While the retailers offer the products, Specxweb facilitates the transaction and communication between You and the retailer.
By proceeding with the use of the Platform, you also declare that any information or documentation provided by You during registration or at any other point is accurate and valid. You agree that the Company may use this information to ensure compliance with all regulatory and legal requirements, including KYC (Know Your Customer) guidelines, if necessary.
If you represent an incorporated entity, you confirm that you have the authority to bind the entity to these Terms. You also confirm that the entity possesses all necessary licenses, approvals, and registrations to use the Platform.
The Specxweb Platform is an e-commerce website designed to facilitate the online purchase of eyewear products, including but not limited to eyeglasses, sunglasses, and optical accessories from partnered retailers. By accessing or purchasing products listed on the Platform, you (the "User" or "Buyer") agree to comply with and be bound by these Terms and Conditions, along with any other applicable policies or guidelines related to specific products or services offered on the Platform.
These Terms apply to all users of the Platform, including but not limited to customers, vendors, browsers, and contributors of content, images, and information ("Content"). As a Buyer, you agree to pay the applicable fees, costs, and charges associated with your purchases, which will be clearly displayed on the Platform at the time of checkout. Upon completion of a transaction, an invoice will be issued to you for the total cost, which may include taxes, shipping charges, and any additional fees applicable to the specific product(s) you purchase.
All payments for purchases made through the Platform must be made using the methods and payment gateways provided by Specxweb at the time of checkout. These payments are to be made directly to the selected retailer or to Specxweb (as per the payment mode chosen) as outlined at www.specxweb.com/checkout. Any transactions must be made in Indian Rupees (INR) and will be subject to Specxweb’s refund, cancellation, and chargeback policies, which can be accessed at www.specxweb.com/refund-policy.
By using the Specxweb Platform, you also agree that any specific additional terms and conditions related to particular products or services, as well as any policies governing refunds, cancellations, or exchanges, will apply. If there is a conflict between these Terms and any specific terms related to a product or service, the latter will prevail.
The Company reserves the right to amend, modify, or update these Terms at any time without prior notice to the Buyer. Your continued use of the Platform following any changes signifies your acceptance of the revised Terms.
You acknowledge and understand that the Specxweb Platform is solely a medium connecting Buyers with partnered retailers ("Sellers") for purchasing eyewear products. The following points outline the exclusion of liability concerning the usage of this Platform
Specxweb is a platform that enables Buyers to purchase eyewear from partnered retailers. Any issues relating to product quality, delivery delays, or product defects must be resolved directly with the retailer.
You are responsible for ensuring the accuracy of all information provided during your purchase, including but not limited to prescription details for optical products. You must obtain all relevant permissions and authorizations (such as a valid prescription) before making a purchase. Specxweb shall not be liable for errors in the information provided by you.
Specxweb shall not be liable for any loss or damage, whether direct or indirect, resulting from delays, non-delivery, or defects in the products purchased through the Platform. The responsibility for addressing such issues lies solely with the respective retailer from which the product was purchased. Our refund, cancellation, and chargeback policies govern any payments, and you agree to adhere to them.
In the event of any fraudulent use of the Platform, whether in relation to payments or product orders, which results in any monetary or reputational loss to Specxweb, we reserve the right to recover such loss from you. Additionally, Specxweb reserves the right to initiate legal action against you for fraudulent activity or any violation of these Terms.
Specxweb does not guarantee that the information or content provided on the Platform is accurate, complete, or current. Any reliance on the information displayed on the Platform is at your own risk.
You are responsible for any costs associated with your use of the internet or mobile data while accessing the Specxweb Platform. Specxweb is not liable for any expenses incurred due to your use of the Platform.
You are solely responsible for all activities undertaken through your Buyer Account, whether authorized or not. Specxweb shall not be liable for any unauthorized use of your account.
Specxweb enables customers to purchase eyewear products from partnered retailers. Upon completing a purchase on the Platform, Specxweb will notify the retailer, and the retailer will process the order for delivery or store pickup, depending on the customer’s selection at the time of checkout.
All products displayed on the Specxweb website are considered an "invitation to offer." Your purchase order constitutes your offer to buy, which may be accepted or rejected at the sole discretion of the retailer. Specxweb is not responsible for the retailer's decision to accept or reject your offer.
Specxweb attempts to display product information as accurately as possible. However, variations in color, size, and other product attributes may occur due to differences in screen displays. Specxweb does not guarantee that all product descriptions are accurate, complete, or error-free. Your sole remedy in the event of a product discrepancy is to return the product in unused condition.
As a Buyer on Specxweb, you acknowledge and agree to the following
For optical products, you confirm that you have a valid prescription from a licensed doctor, and the information you provide will be accurate. Specxweb or the retailer may verify your prescription if needed.
If a product is not delivered due to inaccurate information provided by the Buyer, the Buyer is responsible for covering any additional re-delivery costs.
All information you provide during the checkout process, including your contact details and address, must be accurate. Misrepresentation of any kind will result in cancellation of your order.
You agree to thoroughly review product descriptions and specifications before placing an order. Placing an order signifies your acceptance of the product’s description and the terms of sale.
Specxweb reserves the right to refuse to process any order or provide services to any Buyer, at any time, without providing any reason.
Your data (excluding payment information) may be transferred unencrypted across networks and systems as needed to process transactions or provide services. Specxweb uses encryption for the transmission of payment information.
You are responsible for maintaining the confidentiality of your account information and ensuring that sufficient funds are available before initiating any transactions.
Certain parts of the Specxweb Platform are available only to registered users. You must complete the registration process to access these services.
A breach of any of these Terms or failure to comply with Specxweb's policies may result in the termination of your Buyer Account. Specxweb also reserves the right to report such violations to relevant legal authorities and take necessary legal action in accordance with applicable laws.
By using Specxweb, you agree to these terms and conditions.
By using Specxweb’s platform, you acknowledge that certain activities are prohibited, and it is your responsibility to ensure compliance. The following activities are expressly forbidden:
You shall not use the Platform for any unlawful or fraudulent purposes.
You are prohibited from soliciting others to participate in unlawful acts.
You shall not violate any local, national, or international laws, regulations, or ordinances.
You shall not infringe upon Specxweb’s or any third party’s intellectual property rights.
You must not harass, abuse, insult, defame, or discriminate against anyone based on gender, sexual orientation, religion, ethnicity, race, or disability.
You shall not submit misleading or inaccurate information on the Platform.
You shall not upload or transmit any viruses or malicious code that could harm the Platform or other users.
Collecting personal data of other users or engaging in unauthorized activities like spamming, phishing, or crawling is strictly prohibited.
The Platform shall not be used for obscene or immoral purposes.
Interfering with or circumventing the security features of the Platform is prohibited.
Specxweb reserves the right to terminate your account for any violation of the above terms and may report breaches to law enforcement if necessary.
Specxweb reserves the right to modify or discontinue the Platform and any associated services at any time without notice. We are not obligated to update any information on the Platform. Any changes in prices, product availability, or service features are at the sole discretion of Specxweb and are not subject to prior notification. You agree that it is your responsibility to monitor changes to the Platform, and Specxweb will not be liable for any direct or indirect loss caused by such modifications or discontinuance of services.
Specxweb reserves the right to limit sales of products to any person, geographic region, or jurisdiction. All descriptions of products and pricing are subject to change without notice, at the discretion of Specxweb. We also reserve the right to discontinue any product at any time.
Specxweb does not guarantee that the quality of any product purchased through the Platform will meet your expectations. In case of dissatisfaction, our refund and return policy will apply.
Specxweb will not be responsible for correcting any defects or inaccuracies in the product descriptions or the products themselves.
Specxweb may provide access to third-party tools or services, which are not controlled or monitored by us. These tools are provided "as is" without warranties of any kind. Any use of such third-party tools is at your own risk, and you should ensure that you understand the terms set by the relevant third-party service providers.
Additionally, Specxweb may include links to third-party websites or content on the Platform. We do not verify, endorse, or take responsibility for any third-party materials or services, and we shall not be held liable for any transactions or interactions that occur between you and such third parties. You are encouraged to review third-party policies and practices before engaging in any transaction.
Your submission of personal information, including payment details, is governed by Specxweb's Privacy Policy. We retain the right to request any additional information necessary for compliance with legal requirements, including Know Your Customer (KYC) guidelines. Please refer to our Privacy Policy for detailed information regarding the use and protection of your personal data.
If you submit any comments, suggestions, or other materials to Specxweb, whether through contests, email, or any other medium, you grant us a royalty-free, perpetual, non-exclusive, and irrevocable license to use, copy, publish, and distribute such content in any medium.
Specxweb reserves the right to edit or remove content that we find objectionable, offensive, or in violation of these Terms.
Specxweb is not obligated to maintain the confidentiality of your submissions, compensate you for your contributions, or respond to any comments.
You are responsible for ensuring that your comments or submissions do not violate any third-party rights or any applicable law.
Occasionally, information on the Specxweb Platform may contain errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, or availability. We reserve the right to correct these errors and update the Platform without prior notice, even after an order has been placed. You acknowledge that Specxweb is not obligated to notify you of such changes in advance, and any reliance on the Platform’s information is at your own risk.
Specxweb does not guarantee that the Platform will be uninterrupted, secure, or error-free. We make no warranties regarding the reliability, accuracy, or availability of the Platform. The Platform and all associated services are provided on an as is' and 'as available' basis.
In no event shall Specxweb or its affiliates be held liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to lost profits, data loss, or the cost of substitute services.
All intellectual property, including content, trademarks, logos, and designs used on the Specxweb Platform, is owned by or licensed to Specxweb. You agree not to reproduce, duplicate, or otherwise misuse any of the intellectual property without explicit written consent from Specxweb.
You agree to indemnify and hold harmless Specxweb, its affiliates, directors, employees, and service providers from any claims or demands, including legal fees, arising from your breach of these Terms or violation of any law or third-party rights.
In the event that any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions shall continue to be enforceable to the fullest extent permitted by law. The unenforceable portion shall be severed without affecting the validity of the remaining Terms.
These terms outline the obligations and responsibilities of users on the Specxweb platform. They ensure smooth operation and a clear understanding of rights for both parties involved.
These Terms of Use for the Specxweb platform are effective unless and until terminated by either party:
Specxweb may terminate this Agreement at any time, at its sole discretion, without notice. Upon such termination, you will remain liable for all amounts due up to and including the date of termination, and your access to the Platform (or any part thereof) may be denied.
Termination may also occur by mutual agreement between Specxweb and the Buyer, in writing.
Upon termination of the Agreement, the Buyer agrees to
Continue to be bound by those provisions of the Agreement which survive by their nature.
Immediately stop using the Platform and pay all outstanding fees and amounts owed to Specxweb.
Acknowledge that Specxweb reserves the right to delete all Buyer-related information and account data stored on its servers, including the Buyer Account.
Accept that Specxweb shall not be liable to the Buyer or any third party for the termination of access to the Platform or deletion of Buyer Account data.
Return all assets and materials belonging to Specxweb and destroy any software provided by the Company.
Allow Specxweb to disconnect the Platform services associated with the Buyer’s account.
The failure of Specxweb to exercise or enforce any right or provision in these Terms shall not constitute a waiver of such right or provision. These Terms, along with the Privacy Policy and any other policies or rules posted by Specxweb on the Platform, constitute the entire agreement between you and Specxweb and govern your use of the Platform, superseding any prior agreements or communications, whether oral or written, between you and Specxweb. Any ambiguities in the interpretation of these Terms shall not be construed against Specxweb.
The terms herein will be governed by and construed in accordance with the laws of India, without giving effect to any conflict of law principles. The courts in Indore, Madhya Pradesh shall have exclusive jurisdiction over any dispute arising from the use of the Specxweb Platform.
Specxweb is committed to investigating the cause of any non-performance and will work with all parties involved to address such issues. In case of any grievances, you may contact our Customer Support Officer at info@specxweb.com.
Specxweb shall not be held liable for any delays or non-performance resulting from events beyond its control (Force Majeure), including but not limited to sabotage, fire, flood, civil commotion, strikes, riots, or acts of government. If a Force Majeure event arises, Specxweb will notify the Buyer in writing as soon as reasonably possible.
Specxweb reserves the right to assign or transfer this Agreement to any third party, including its affiliates, without the Buyer’s consent.
